Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the RoomieFinder platform (“Platform”). By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you disagree with these Terms, you must refrain from using the Platform.

This document constitutes a legally binding agreement between you (the “User,” “Landlord,” or “Tenant”) and RoomieFinder (“we,” “us,” or “our”). These Terms are effective immediately upon your first use of the Platform and supersede any prior agreements or understandings between you and RoomieFinder regarding the use of the Platform.

1. Definitions and Interpretations

For the purposes of these Terms:

1.1 “RoomieFinder” refers to the entity providing the Platform, which facilitates connections between Landlords and Tenants seeking rental or flat-share arrangements.

1.2 “Landlord” refers to a User who lists property or accommodation for rent or Flatsharing on the Platform.

1.3 “Tenant” refers to a User seeking property or accommodation for rent or Flatsharing through the Platform.

1.4 “User” refers to any individual or entity accessing or utilising the Platform, including but not limited to Landlords and Tenants.

2. Nature of the Platform

2.1 Intermediary Role

RoomieFinder operates as a neutral intermediary that facilitates the listing and communication between Landlords and Tenants. The Platform allows Landlords to list rental or Flatsharing properties and enables Tenants to view available listings. RoomieFinder does not engage in real estate brokerage activities and does not provide representation, warranty, or guarantees regarding the validity of any listing.

2.2 No Agency Relationship

RoomieFinder is not a party to any agreements, contracts, or transactions that occur between Landlords and Tenants. Any agreements or arrangements made are solely between the Landlord and Tenant. RoomieFinder is not responsible for enforcing any contractual obligations or resolving disputes between Users.

2.3 Disclaimer of Liability

RoomieFinder expressly disclaims all liability related to agreements, negotiations, or transactions that occur between Users. The responsibility to ensure the validity and legality of such agreements lies entirely with the Users.

3. Eligibility and Registration

3.1 Eligibility

By using the Platform, Users represent and warrant that they are at least 18 years of age and possess the legal capacity to enter into binding agreements under applicable law.

3.2 Accurate Information

Users are required to provide accurate, complete, and up-to-date information when registering, posting listings, or engaging in transactions through the Platform. Failure to provide such information may result in suspension or termination of access to the Platform.

4. User Obligations and Conduct

4.1 Compliance with Applicable Laws

Users must comply with all applicable laws, regulations, and ordinances in their jurisdiction, including those pertaining to rental and Flatsharing agreements, property laws, and data protection laws.

4.2 Prohibited Conduct

Users are prohibited from engaging in any of the following activities:

  • Posting false, misleading, or fraudulent information regarding properties, availability, or other details on the Platform.
  • Using the Platform for illegal, unlawful, or prohibited activities, including but not limited to engaging in money laundering, fraudulent schemes, or violating intellectual property rights.
  • Circumventing the Platform's features to engage in off-platform transactions or other activities that undermine the security or integrity of the Platform.

4.3 Due Diligence

Landlords and Tenants are solely responsible for verifying the identity, legitimacy, and intentions of the other party. RoomieFinder strongly recommends that Users conduct thorough due diligence, including but not limited to verifying personal and financial information, performing property inspections, and obtaining legal advice, where appropriate.

5. Listings, Transactions, and Payment

5.1 RoomieFinder’s Role

RoomieFinder provides a Platform for Landlords to list properties and for Tenants to find accommodation; however, RoomieFinder does not endorse or guarantee the accuracy, quality, legality, or suitability of any listing. It is the sole responsibility of Users to verify the accuracy and legality of all details regarding properties, terms of rental, and conditions of Flatsharing arrangements.

5.2 Payment Processing

RoomieFinder does not facilitate, process, or manage any payments between Landlords and Tenants. All financial transactions, including rent payments, deposits, or service fees, must be handled directly by the Users. RoomieFinder does not assume any liability for payment disputes or non-performance of payment obligations.

5.3 Transaction Risks

Users who engage in financial transactions or enter into agreements without proper verification or a legally binding contract do so at their own risk. RoomieFinder disclaims any responsibility for any damages, losses, or issues arising from such transactions.

6. Limitation of Liability

6.1 General Limitation

RoomieFinder, its affiliates, officers, directors, employees, and agents shall not be held liable for any direct, indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, business interruptions, or data loss, arising from:

  • Misrepresentation by Users.
  • Breach of agreements or contracts between Landlords and Tenants.
  • Fraudulent, negligent, or wrongful actions by Users.

6.2 Exclusion of Liability

RoomieFinder is not responsible for any loss, damage, or expense arising out of Users’ reliance on any content, information, or services provided on the Platform. Users acknowledge that RoomieFinder does not verify the authenticity, validity, or legality of any listings or User communications.

7. Reporting Violations and Fraud

7.1 Reporting Obligations

Users are encouraged to promptly report any violations of these Terms, fraudulent activity, suspicious behaviour, or illegal conduct via RoomieFinder’s support channels.

7.2 Investigations and Remedial Actions

RoomieFinder reserves the right to investigate any reported violations and, at its discretion, may remove content, suspend or terminate User accounts, and cooperate with relevant legal authorities.

8. Indemnification

8.1 Indemnification by Users

Users agree to indemnify, defend, and hold harmless RoomieFinder, its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, costs, expenses (including reasonable attorneys’ fees), or judgments arising out of:

  • A User’s breach of these Terms.
  • A User’s use or misuse of the Platform.
  • Any disputes or claims arising between Users.

8.2 Scope of Indemnification

This indemnification provision extends to any legal actions, fines, or penalties incurred by RoomieFinder as a result of a User’s failure to comply with these Terms or applicable laws.

9. Intellectual Property

9.1 Ownership

RoomieFinder retains exclusive ownership over all intellectual property associated with the Platform, including but not limited to its design, user interface, proprietary features, software, trademarks, and content.

9.2 License Grant

RoomieFinder grants Users a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for lawful personal purposes. Users shall not copy, modify, distribute, or reproduce any part of the Platform without express written consent from RoomieFinder.

10. Governing Law and Jurisdiction

10.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

10.2 Dispute Resolution

Any dispute arising from or in connection with these Terms, including but not limited to their interpretation, performance, or breach, shall be subject to the exclusive jurisdiction of the courts in the UAE.

11. Amendments to the Terms

11.1 Right to Modify

RoomieFinder reserves the right to amend, revise, or update these Terms at its sole discretion. Any amendments shall be effective immediately upon publication on the Platform.

11.2 Notification of Changes

Substantive changes to the Terms will be communicated to Users through email or notifications on the Platform. Continued use of the Platform after any changes constitutes acceptance of the revised Terms.

12. Severability

12.1 Enforceability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a competent court, the remaining provisions shall continue in full force and effect, and the invalid provision shall be amended to reflect the intent of the original provision as closely as possible.
